Corporate maintenance is important for the owners of any limited liability entity, and should be scheduled on a regular basis. And thus, we provide an Entity Maintenance Program for our business clients on an annual basis. The review process is comprehensive, can include more than one meeting, and includes all the documents necessary to comply with Indiana law. We also review your business plan to confirm that the correct entity form is being utilized given the business’ status and plans.

One of the most important but often neglected ways to maintain your “corporate veil” is to monitor your company’s status with the State of Indiana and to update your corporate record book. We will serve as your entity’s register agent, accept service of process of any law suits, administrative actions or regulatory notices served on us as your agent, and report to you with advice on what you must do to address any such action taken against your entity. We send you quarterly reports and alert you biennially when your reports are due to the Indiana Secretary of State. We also help you prepare notices, minutes and resolutions for meetings of shareholders and directors to update your corporate record book. If needed, we also will update your filings with the Secretary of State or County Recorder’s Office, at any time.
If, say mid-year, there is a change in ownership or leadership in your company, we will prepare your notices, minutes and resolutions of meetings to document these changes. No additional charge.
