Indiana appellate courts have consistently held that limited liability entities will not provide owners with asset protection, if the entity does not follow certain corporate formalities. The tests to determine whether corporate formalities have been followed by a corporation will actually be the same tests applied to LLC’s and, presumably then, other limited liability entities. Corporate maintenance is important for the owners of any limited liability entity, and should be scheduled on a regular basis. And thus, we provide an Entity Maintenance Program for our business clients on an annual basis. The review process is comprehensive, often includes more than one meeting, and includes all the documents necessary to comply with Indiana law. We also review your business plan to confirm that the correct entity form is being utilized given the business’ status and plans.
